What is the common point between a young model, a future top model and a young actor who begins his career in show business ?

Many young models and actors don’t know how to protect their image, their rights and how to create a revenue based on their image. This article aims to recall some basic principles in the field of image rights, guiding future talents in the implementation of the exploitation of their image. Indeed, our experience allows us to see how the first steps in this field bring many questions for young models and actors while the first contracts are quick to pointer their clauses, often incomprehensible to a newbies.

The case envisaged below was assuming a beginner model, but this case can easily be transposed to all areas of show business, since it is always a case of image rights use.

The IMAGE RIGHTS : what does it mean ?

In Belgium, everyone has an exclusive right to their own image. So it’s not a prerogative of models, professional models and show business actors.

Article XI.174 of the Code of Economic Law states that “neither the author nor the owner of a

portrait or any other possessor or holder of a portrait has the right to reproduce it or to communicate to the public without the consent of the represented person or his or her successors for twenty years from the death “.

For the models, the exploitation of the image becomes the main object of profession and the source

of income. Usually models sign the contract with modeling agency who’ll take care about their interest and their image use.

For show business artists this reality is also reflected in the contract with their agent who will often be, in addition to aspects related to the career of the artist, responsible for the exploitation of the rights to the image in the interest of the artist. It is necessary to distinguish the agreement as to the capture of the image, and the agreement as for the exploitation of the image.

The agreement on the capture of the image

As a matter of principle, all persons, including models and show business actors, have the right to authorize or refuse to be taken on photo, exhibition, distribution or reproduction of their image. This right belongs to them exclusively, their image can not be seized or exploited without their authorization.

Although the models and other artists have their financial benefits, and put themselves voluntarily under the spotlight, they always have their image rights, the latter being closely linked to their person. In their specific case, however, it should be noted that their consent to the realization of their image is presumed, although it must be interpreted restrictively (Civ Brussels, 17 May 2002, A & M, 2003, p.138). In other words, by the mere fact that they expose themselves to the public, they would give a tacit authorization to capture their image.

Agreement on the exploitation of the image

If it is often established that talent accepts to be photographed (think of the person who poses proudly (and consciously) on the steps of a famous city in the south of France), this agreement on the capture of the image is to be distinguished from that relating to the publication of their image and the conditions of this publication. In other words, the agreement as to the exploitation and the publication of the image can not be deduced from the agreement given by the model as to the capture of her image.

Thus, the distribution of the image of the model will require her agreement, that is to say that the photographer or publisher must be certain that this agreement has been given to them and that it is precisely the exploitation that will be made of the picture. No particular form is required for this authorization, although it is obvious that a writing is always hard to challenge.

In the absence of writing the remuneration received by a model may be an indication of her consent to the dissemination of her image. Consider a stamp emanating from a sensational magazine or television show in which this model participated.

Among regular examples how many actors and actresses did not copy the images of their marriage to the interested press? This agreement deals with both the capture of photos on the day of the event (often accompanied by restrictive conditions and a final right of inspection) as on the exploitation of the images.

From the time the principle that the right to monetize the image can be accepted, the violation of the right to the model’s image can also cause financial damage, because it does not receive any remuneration to which she would be entitled. Moral damage may also be caused. This will be particularly the case when the diffusion of an image captured in the private life of the model (the well-known paparazzi hypothesis).

The transfer of rights to the image: a first contract ?

The right to the image must be the subject of a contract for the purpose of economic exploitation, which is often the case, but in a varied form, in the world of show business since the very essence of profession is to sell his image.

It is this contract that will take over the extent of the exploitation, the way of exploiting it and the financial conditions to respect to do it. We therefore measure the importance of this contract and the opportunity to dissect it in the details in order to understand all the terms.

When the model is faced with its first contract in this area, it is only exceptionally in a position to negotiate the terms (in any case when it is not yet known). It is often a contract of adhesion to take or to leave … Nevertheless, in the absence of being able to negotiate it as it should be, one must not lose sight of the great principle: we do not sign a clause that we do not understand. There is nothing to preclude asking for clarification in writing of imprecise clauses or asking for a disproportionate clause.

Agency and talent

The young model often will sign an exclusive contract with an agency that will take care of exploiting her image. By entering into such a contract, the agency becomes in a way the manager of the career and services of the model. At this point caution is required since this type of contract includes clauses relating to exclusivity that would be granted to the agency, the duration of the contract that will bind the parties, or how to pay the model and how an agency that defends her.

In concrete terms, this means that when the model poses for a customer found by the agency, the remuneration for this service will first pass through the agency that will retain a commission before paying the model for her work. This commission can be more or less important depending on the agency and a model.

The material can quickly become complex and require the advice of an attorney. Therefore in case of doubt professional model (even beginner!) will never be ridiculous by asking for a period of reflection and indicating that she wishes to obtain the advice of her council before signing …

Mannequin, top modèles, et show-business: comment exploiter vos droits à l’image ?

 

Quel est le point commun entre un jeune mannequin, un futur top-modèle et un jeune artiste qui entame sa carrière dans le show-business ?

Si ceux-ci sont nombreux et variés, il en existe un auquel les personnes concernées ne pensent pas souvent à l’aube d’une carrière, à savoir la possibilité qu’ils ont d’exploiter leur image et d’en tirer un revenu.

Le présent article vise à rappeler quelques principes de base en matière de droit à l’image afin de guider les futurs talents dans la mise en œuvre de l’exploitation de leurs droits à l’image. En effet, notre expérience nous a permis de constater à quel point les premiers pas dans le milieu soulèvent de nombreuses questions pour les jeunes artistes alors que les premiers contrats ne tardent pas à pointer leurs clauses, souvent incompréhensibles pour un novice.

Le cas de figure envisagé ci-après vise l’hypothèse d’un mannequin débutant, mais ce cas de figure peut facilement être transposé à tous les secteurs du show-business, dès lors qu’entre en jeu l’exploitation de l’image.

Le droit à l’image : c’est-à-dire ?

En Belgique, tout un chacun dispose d’un droit exclusif sur sa propre image. Ce n’est donc pas une prérogative des mannequins, modèles professionnels et acteurs du show-business.

L’article XI.174 du Code de droit économique précise que « ni l’auteur, ni le propriétaire d’un portrait, ni tout autre possesseur ou détenteur d’un portrait n’a le droit de le reproduire ou de le communiquer au public sans l’assentiment de la personne représentée ou celui de ses ayants droit pendant vingt ans à partir de son décès ».

Pour le mannequin, l’exploitation de son image devient l’objet principal de sa profession et la source principale de ses revenus. Cet aspect se matérialise par un contrat qui sera souvent conclu avec une agence, à charge pour cette dernière de rechercher et négocier des contrats d’exploitation de l’image.

Pour les artistes au sens large, cette réalité transparait également dans le contrat avec leur agent qui sera souvent, en plus des aspects liés à la carrière de l’artiste, chargé de l’exploitation des droits à l’image dans l’intérêt de l’artiste.

Il faut distinguer l’accord quant à la captation de l’image et l’accord quant à l’exploitation de l’image.

L’accord quant à la captation de l’image

Par principe, toutes personnes, y compris celles faisant de la vente de leur image une profession, ont donc le droit d’autoriser ou de refuser la fixation, l’exposition, la diffusion ou la reproduction de leur image. Ce droit leur appartient exclusivement, leur image ne pouvant être saisie ou exploitée sans leur autorisation.

Bien que les mannequins et autres artistes voient leurs prestations monnayées et se mettent volontairement sous les feux des projecteurs, ils disposent toujours de leur droit à l’image, celui-ci étant intimement lié à leur personne. Dans leur cas spécifique, notons toutefois que leur consentement à la réalisation de leur image est présumé, bien que devant être interprété de manière restrictive (Civ. Bruxelles, 17 mai 2002, A&M, 2003, p.138). Autrement dit, par le seul fait qu’ils s’exposent au public, ils donneraient une autorisation tacite de la captation de leur image.

L’accord quant à l’exploitation de l’image

S’il est souvent établi que le talent accepte de se faire photographier (songeons à la personne qui pose fièrement (et consciemment) sur les marches d’une célèbre ville du sud de la France), cet accord sur la captation de l’image est à distinguer de celui relatif à la publication de leur image et aux conditions de cette publication. Autrement dit, l’accord quant à l’exploitation et à la publication de son image ne peut être déduit de l’accord donné par le mannequin quant à la captation de son image.

Ainsi, la diffusion de l’image du mannequin nécessitera son consentement exprès, c’est-à-dire que l’utilisateur doit être certain que cet accord a bien été donné et qu’il vise précisément l’exploitation qui sera faite de l’image. Aucune forme particulière n’est requise pour cette autorisation même s’il est évident qu’un écrit constitue toujours une preuve difficilement contestable.

En absence d’écrit, la rémunération que le mannequin reçoit peut éventuellement constituer un indice de son consentement quant à la diffusion de son image. Songeons à un cachet émanant d’un magazine à sensation ou d’une émission télévisée à laquelle le mannequin a participé.

Parmi des exemples réguliers, combien d’acteurs et actrices ne monnaient pas les images de leur mariage auprès de la presse intéressée ? Cet accord porte donc tant sur la captation des photos le jour de l’évènement (souvent assortie de conditions restrictives et d’un droit de regard final) que sur l’exploitation des images.

A partir du moment où le principe que le droit à l’image puisse se monnayer est accepté, la violation du droit à l’image du mannequin peut, par écho, occasionner un préjudice patrimonial car celui-ci n’obtient pas toute la rémunération à laquelle il aurait droit. Un dommage moral peut aussi éventuellement être causé. Ce sera notamment le cas lors de la diffusion d’une image captée dans le cadre privé du modèle (l’hypothèse bien connue du paparazzi).

La cession des droits à l’image : un premier contrat ?

Le droit à l’image doit faire l’objet d’un contrat à des fins d’exploitations économiques, ce qui est souvent le cas, mais sous une forme variée, dans le milieu du show-business puisque l’essence même de la profession consiste à vendre son image.

C’est ce contrat qui va reprendre l’étendue de l’exploitation, la manière de l’exploiter et les conditions financières à respecter pour ce faire.

Nous mesurons donc toute l’importance de ce contrat et l’opportunité de le décortiquer en détail afin d’en comprendre tous les termes.

Lorsque le modèle est face à son premier contrat en la matière, il n’est qu’exceptionnellement en position de pouvoir en négocier les termes (en tous les cas lorsque il n’est pas encore connu). C’est souvent un contrat d’adhésion à prendre ou à laisser… Néanmoins, à défaut de pouvoir le négocier comme il se doit, il ne faut pas perdre de vue le grand principe en matière contractuelle : nous ne signons pas une clause que nous ne comprenons pas. Rien n’interdit de demander de clarifier par écrit des clauses imprécises ou de demander d’apporter un tempérament à une clause disproportionnée.

L’agence et le talent

Le jeune top-modèle – souvent – signera un contrat d’exclusivité avec une agence qui se chargera d’exploiter son image.

Par la conclusion d’un tel contrat, l’agence devient en quelque sorte le gestionnaire de la carrière et des prestations du mannequin en question. A ce moment-là aussi, la prudence est de mise puisque ce type de contrat reprend des clauses relatives à l’exclusivité qui serait accordée à l’agence, à la durée du contrat qui va lier les parties ou encore à la manière de rémunérer le mannequin et l’agence qui la défend.

Concrètement, cela signifie que lorsque le mannequin posera pour un client trouvé par l’agence, la rémunération pour cette prestation transitera d’abord par l’agence qui retiendra une commission avant de payer le mannequin pour son travail. Cette commission peut être plus ou moins importante selon l’agence et le mannequin concerné.

La matière peut devenir rapidement complexe et nécessiter l’avis d’un spécialiste. Dès lors, en cas de doute, le mannequin professionnel (même débutant !) ne sera jamais ridicule en demandant un délai de réflexion et en indiquant qu’il souhaite obtenir l’avis de son conseil avant de signer…
